CNICUS Buying Group Program Membership Agreement
As an authorized agent for the Company, I, hereby appoint CNICUS Buying Group (CBG), a division of ThistleSea Business Development, LLC, as our group purchasing agent for the purpose of recommending and endorsing products and services for our use as long as this Group Buying Program membership agreement remains in effect.
AS A MEMBER OF THE CBG, I AGREE TO KEEP ALL PRICING AND CONTRACT INFORMATION CONFIDENTIAL AND USE THESE CONTRACTS FOR MY EXCLUSIVE BENEFIT. FURTHERMORE, I AGREE TO PAY THE ANNUAL PARTICIPATION FEE AT THE TIME OF SIGNING OR AT THE ANNUAL RENEWAL TO CONTINUE TO RECEIVE THE BENEFITS OF PARTICIPATION IN THIS BUYING GROUP PROGRAM.
I recognize that purchasing programs offered by the CBG may include administrative and marketing fees paid by the contracted vendors and suppliers to the CBG. Such compensation may be in a fixed amount or a percentage of the value of purchases made by your business from the vendor, but in no case shall the fee exceed applicable safe harbor limits without appropriate notification from CBG in advance of your participation in said group buying agreement.
Furthermore, I understand that each vendor’s (manufacturer or distributor) agreement may require that I expressly designate my intention to purchase products under the term of the agreement by signing a vendor Contract Designation Form. Membership in CBG does not automatically provide access to all of CBG vendor agreements. I agree to review each CBG vendor agreement and any related Contract Designation Forms that I intend to use and abide by any conditions contained therein. I agree to participate in the survey requests from CBG.
This Buying Group Program agreement shall remain in effect for a period of one year from the date of signature unless terminated by either party upon thirty (30) days notice. Unless otherwise notified, this agreement shall renew for an additional one-year periods on the anniversary date each year hereafter.
